Multi-Vendor Marketplace Agreement

Operated by Shri Krishna Ventures

Effective Date: 1st January 2026

This Seller User Agreement (“Agreement”) is entered into between the Seller (or any company or business entity the Seller represents) and Shri Krishna Ventures, developer and operator of the ClickUdupi.com multi-vendor eCommerce Marketplace (“Market Place Owner”, “we”, “us”, “our”).

By registering as a Seller, clicking “I Agree”, or using the Marketplace, you agree to be legally bound by this Agreement, the Privacy Policy, and any additional policies issued by the Market Place Owner. If you do not agree to these terms, you must not register or use the Marketplace.

PART A — HOW TO BECOME A SELLER

Follow these steps to register and start selling your products on clickudupi.com.

Step 1: Read the Terms, Policies & Commission Details

Before starting your registration, carefully read the Seller Terms & Conditions of Use, Shipping Details, Payment & Commission Details, Return, Cancellation & Refund Details, and Privacy Policy. By proceeding, you agree to follow all rules, policies, and the commission structure set by the Market Place Owner.

Step 2: Click on “Seller Registration”

Go to the homepage of clickudupi.com and click on “Seller Registration”. This will open the registration form where you can enter your business details.

Step 3: Enter Your Personal Details

Fill in the following personal details:

  • Full Name
  • Valid Contact Number (WhatsApp)
  • Alternate Contact Number
  • Valid Email ID
  • Alternate Email ID (Optional)

These details are used to verify your identity and send important updates.

Step 4: Enter Your Store Information

Provide the following store details:

  • Store Name — official business name
  • Display Name — name visible to Buyers on your Store Page
  • Postal Address — business or pickup location

Make sure your Store Name is unique and reflects your business identity.

Step 5: Upload Identity Proof

To verify your identity, enter and upload:

  • Aadhaar Number and Aadhaar Card Image (Front & Back)
  • PAN Number and PAN Card Image

These documents are required for identity verification and payment settlement.

Step 6: Enter Bank Account Details

Provide valid bank account information for receiving payments:

  • Bank Account Number
  • Bank Name and Branch Address
  • IFSC Code
  • Upload the first two pages of your Passbook

📌  Note: Ensure the name on the bank account matches your Aadhaar or business registration name.

Step 7: Provide Business and Tax Details

Fill in the following business and tax information:

  • GST Number and GST Certificate (upload)
  • Udyam Registration Number (if applicable)
  • FSSAI License details and certificate (mandatory if selling food items)

📌  Note: If you plan to sell any food items, an FSSAI license is mandatory. You must follow all guidelines issued by FSSAI.

Step 8: Shipping Method

Select your preferred shipping method:

  • At present shipping is by India Post parcel service
  • Vendors dispatch the products India Post Parcel service. Tracking details must be updated promptly in the Seller Dashboard.
  • Shipping cost is auto calculated and displayed.
  • In case the Vendor wishes to offer “Free Shipping” then in the Product Shipping settings select Free shipping class.

Sellers are responsible for proper packaging, quality maintenance, and timely delivery. Food items must be sealed properly. If products are in glass or plastic containers, Sellers must use food-grade packing materials and bear any loss due to damage or breakage.

Step 9: Create Your Product Listings

Once your Seller account is approved, log in to your Seller Dashboard and click “Add New Product”. For each product, enter:

  • Product Name, Category, Description, and Clear Images
  • MRP, Discount (if any), GST, Shipping Cost, Service Charge, and Selling Price
  • Applicable Shipping, Cancellation, and Return Policy

Step 10: Launch Your Store and Start Selling

After uploading your first product, click “Launch Store and Start Selling”. Your store will go live once approved by the Market Place Owner. You can then manage orders, payments, and customer interactions from your Seller Dashboard.

PART B — SELLER TERMS & CONDITIONS

1. Seller Eligibility

  • The Seller must be at least 18 years old and legally capable of entering into binding contracts.
  • You must be a legally registered individual, business, or entity to sell on clickudupi.com.
  • You must provide accurate business information including full name, GST number (if applicable), postal address, Aadhaar number, PAN, bank details, and contact information during registration.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • clickudupi.com reserves the right to verify, approve, reject, suspend, or terminate any Seller registration at its sole discretion.

2. Product Listings & Quality Standards

Sellers may list physical or digital products on the Marketplace, subject to compliance with applicable Indian laws and platform policies.

  • You are solely responsible for providing accurate product descriptions, images, pricing, and specifications.
  • Each product listing must include: Product Name, Description, and clear Images; MRP, Discounts, GST, Shipping Charges, Service Charges, and Final Selling Price; and applicable Cancellation, Return, and Delivery Policies.
  • All products listed must be genuine, legal, and fit for sale. Listing counterfeit, prohibited, expired, unsafe, or restricted items is strictly prohibited.
  • Products must match the description in the listing — no misleading or deceptive content is permitted.
  • clickudupi.com reserves the right to remove any listing that violates platform policies or applicable laws.

3. Order Fulfilment & Shipping

The Market Place Owner does not store or manage inventory. The Seller is fully responsible for stock, packaging, and dispatch.

  • Vendor is fully responsible for packing and shipping orders to Buyers in a safe, secure, and timely manner.
  • All items must be properly packed to prevent damage during transit.
  • Vendor must dispatch orders within the timeframe specified during listing or as agreed with clickudupi.com.
  • Tracking details must be updated promptly in the Seller Dashboard upon dispatch.
  • Vendor is responsible for providing accurate tracking information to the Buyer and clickudupi.com upon dispatch

📌 Note: Failure to fulfil orders on time may result in penalties, suspension, or removal of your Seller account.

3.1 Easy Ship (not supported as of now)

  • The Platform’s authorised delivery partner will pick up items from the Seller’s location and deliver them to the Buyer.
  • The Seller must ensure proper packaging and timely readiness for pickup.
  • Delays or damages due to poor packaging or product unavailability are the Seller’s responsibility.

3.2 Self Ship

  • At present shipping is by India Post parcel service
  • Vendors dispatch the products India Post Parcel service. Tracking details must be updated promptly in the Seller Dashboard.
  • Shipping cost is auto calculated and displayed.
  • In case the Vendor wishes to offer “Free Shipping” then in the Product Shipping settings select Free shipping class.

4. Product Quality & Defective Items

As a Seller, Vendors are entirely responsible for the quality of products shipped to Buyers.

  • Items must be in good condition, free from defects, and exactly as described in the product listing.
  • Sending damaged, spoiled, defective, or incorrect items to a Buyer is a violation of these Terms.
  • If a Buyer reports a defective, spoiled, or damaged product, the case will be reviewed by clickudupi.com and, if found valid, you will be held fully responsible.

5. Returns, Cancellations & Refunds

5.1 Seller’s Obligations

  • Each product must clearly specify its applicable return and cancellation policy at the time of listing.
  • Buyers are eligible for returns or cancellations as per the policy attached to each product.
  • Vendor must accept returns for products that are defective, spoiled, damaged, or not as described.
  • Upon receiving a returned item, Vendor must either:
  • Replace the item with a new, undamaged product of the same description, OR
  • Agree to a full refund being initiated to the Buyer.
  • Vendor cannot refuse a valid return request for a defective, spoiled, or damaged item.
  • Return shipping costs shall be borne by the Seller unless otherwise stated in the product policy.

5.2 Seller’s Financial Liability

  • Vendors (the Sellers) are solely liable for all costs and losses arising from returns and refunds due to defective, spoiled, or damaged products.
  • Refunds will be initiated by the Market Place Owner upon confirmation of receipt and verification of the returned item.
  • Any refund amount paid to the Buyer will be deducted from Vendor’s Seller account balance or withheld from future payments.
  • clickudupi.com will not bear any financial loss caused by your failure to ship quality products.
  • Repeated return or refund incidents may result in suspension or permanent removal of your Seller account.

📌 Note: clickudupi.com acts only as a marketplace facilitator. All product-related liabilities rest with the Seller.

6. Payment & Settlement

6.1 Payment Schedule

  • Payments to Sellers are processed on a monthly basis.
  • Settlement is made on the 5th of every month.
  • The payment covers all successfully completed orders up to the 25th of the previous month.

6.2 Payment Deductions

  • Orders for which a refund has been issued to the Buyer will NOT be included in Vendor’s payment.
  • Any amount related to returns, refunds, or disputes will be deducted before payment is transferred to you.
  • Platform commissions, listing fees, and/or subscription plan charges will be deducted before settlement. Applicable fees are communicated during Seller onboarding.
  • The Seller is responsible for GST, TDS, or other statutory taxes as per Indian law.
  • clickudupi.com will provide a monthly statement showing orders paid, deductions, and the final amount settled.

6.3 Payment Example

📌 Note: Example: Orders placed between 26th March and 25th April will be settled on 5th May. Any refunded orders from this period will be excluded from the payout.

7. Seller Responsibilities & Conduct

  • Ensure product quality, legality, and authenticity at all times.
  • Respond to Buyer queries and complaints promptly and professionally.
  • Comply with all applicable laws including GST, FSSAI, Weights & Measures, and other legal obligations.
  • Vendors must comply with all applicable local, state, and national laws regarding the sale of your products.
  • Keep inventory, pricing, and stock information accurate and up to date.
  • Maintain proper records of transactions for audit and compliance purposes.
  • Vendor must not engage in misleading, fraudulent, deceptive, or unethical practices on the platform.
  • Not list or sell prohibited, counterfeit, expired, or legally restricted products.
  • Keep your Seller account details, bank information, and contact details up to date.

8. Market Place Owner’s Role

  • clickudupi.com provides the Marketplace infrastructure for Sellers and Buyers to transact.
  • It does not own, store, or control any Seller inventory.
  • It is not responsible for product quality, warranties, legality, or accuracy of Seller listings.
  • It facilitates payments and customer communication but is not the seller of record for individual products.
  • It may delist or suspend Sellers for non-compliance or violation of laws or policies.

9. Platform Fees & Commissions

  • clickudupi.com charges a commission and/or platform fee on each sale, as communicated during Seller onboarding.
  • Any applicable fees will be deducted before settlement of your monthly payment.
  • Fee structures may be updated from time to time — Sellers will be notified in advance of any changes via email or platform notification.

10. Intellectual Property

  • The Seller must not use any copyrighted or trademarked content without authorisation.
  • All brand names, logos, and product images used by the Seller must be owned or properly licensed.
  • The Seller grants clickudupi.com a limited right to use their brand names, images, and listings for promotional and marketing purposes within the Marketplace.

11. Data Ownership & Privacy

  • The Seller retains ownership of their listings, content, and related data.
  • clickudupi.com collects limited personal and business data for operational and compliance purposes, as outlined in the Privacy Policy.
  • The Seller must maintain confidentiality of login credentials and Buyer information.
  • Sharing or misuse of Buyer data without consent is strictly prohibited.

12. Disclaimer of Warranties

  • The Marketplace is provided “as is” and “as available”, without any warranties or guarantees of uninterrupted operation.
  • clickudupi.com disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

clickudupi.com shall not be liable for:

  • Product defects, delays, or non-performance by Sellers.
  • Indirect, incidental, or consequential damages arising from use of the Marketplace.
  • Any events beyond reasonable control (force majeure).

In no case shall total liability exceed the amount of commission or service fees paid by the Seller in the month preceding the claim.

14. Indemnity

The Seller agrees to indemnify and hold harmless clickudupi.com, its employees, and affiliates from any claims, losses, or expenses arising from:

  • Breach of this Agreement.
  • Violation of laws or third-party rights.
  • Listing, promotion, or sale of any product on the Marketplace.

15. Account Suspension & Termination

  • Either party may terminate this Agreement through written notice.
  • clickudupi.com reserves the right to suspend or terminate a Seller account for any of the following reasons:
  • Repeated customer complaints or poor ratings.
  • Selling counterfeit, illegal, unsafe, or prohibited products.
  • Failure to fulfil orders or respond to valid return requests.
  • Fraudulent activity, misrepresentation, or payment default.
  • Violation of any provision of this Agreement.
  • Pending orders must be completed before termination takes effect.
  • Upon termination, any pending payments (after deductions) will be settled within 30 days.
  • No refund of fees or commissions will be provided unless otherwise stated in an official policy.

16. Changes to This Agreement

  • clickudupi.com may update this Agreement from time to time.
  • Sellers will be notified of significant changes via registered email or platform notifications.
  • Continued use of the platform after such notification constitutes your acceptance of the updated terms.

17. Miscellaneous

  • Independent Contractors: The Seller and Market Place Owner are independent entities; no partnership or employment relationship exists between them.
  • Force Majeure: Neither party shall be held liable for delays or failures due to unforeseen circumstances beyond their reasonable control.
  • Notices: Legal notices shall be sent to the official email or registered address mentioned on the Marketplace.
  • Entire Agreement: This document supersedes all prior agreements, representations, and communications between the parties.
  • Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining clauses shall remain in full force.

18. Governing Law & Dispute Resolution

  • This Agreement shall be governed by and construed in accordance with the laws of India.
  • All disputes shall be subject to the exclusive jurisdiction of the courts in Udupi, Karnataka.
  • Any disputes will first be attempted to be resolved through mutual discussion between the parties.
  • If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English at Udupi.

BY REGISTERING OR USING THE MARKETPLACE, THE SELLER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THIS SELLER USER AGREEMENT.
